Trade-Secret Appropriation Disclaimer
Protecting Against Claims of Improper Use or Misappropriation of Confidential Formulas

  1. Independent Formulation & Sourcing

    • BadrUp LLC (“Seller”) represents and warrants that the fragrances offered (e.g., Polo Green, Creed Aventus, Bleu de Chanel) are not the original trade-secret formulas themselves, but have been independently formulated through strenuous reverse-engineering, side-by-side olfactory comparison, and meticulous craftsmanship to achieve ≥ 99% sensory accuracy to the originals.

    • All raw materials and prediluted stocks have been obtained through fully lawful, authorized channels, with no use of or reliance upon any confidential documentation or misappropriated trade-secret data.

  2. No Claim of Ownership

    • The underlying proprietary formulas remain the exclusive intellectual property (including trade secrets) of their original creators.

    • Seller makes no representation of ownership in, or license to, those proprietary formulas beyond the finished fragrance product.

  3. Buyer Acknowledgment

    • By purchasing, Buyer acknowledges that:

      • The product is provided solely as a finished, consumer-ready fragrance.

      • Buyer will not attempt to reverse-engineer, disclose, or otherwise replicate the confidential aspects of the fragrance composition beyond what is listed on standard INCI labeling (“Fragrance (Parfum)”).

  4. Disclaimer of Further Disclosure

    • Seller is under no obligation to disclose any formulation details beyond standard labeling requirements and will decline any request for confidential composition data.

  5. Limitation of Liability

    • Seller disclaims all liability for any claim arising from Buyer’s unauthorized analysis, deconstruction, or publication of the fragrance composition.

    • Seller’s total liability for such claims shall not exceed the purchase price of the implicated product.

  6. Indemnification

    • Buyer agrees to indemnify, defend, and hold harmless Seller and its affiliates (including officers, directors, employees, and agents) from any losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from Buyer’s breach of this disclaimer.

  7. Governing Law & Jurisdiction

    • This disclaimer is governed by California law, without regard to conflict-of-law principles, and any disputes shall be subject to the exclusive jurisdiction of the state or federal courts in Alameda County, California.

By purchasing any fragrance product from BadrUp LLC, you expressly agree to the terms outlined in this disclaimer.

 

“Imperial Aria” “Blue Reverie” “Verdant Requiem” EU-Market Restriction & Liability Disclaimer

1. Product & Regulatory Basis
“Imperial Aria””Blue Reverie” “Verdant Requiem” is produced according to its original counterpart formulations, which contains one or more fragrance raw materials expressly prohibited under Regulation (EC) No 1223/2009 (Annex II) of the European Parliament and of the Council (the “EU Cosmetics Regulation”).

2. Geographic Scope of Restriction
These products are not and will not be sold, offered for sale, imported, distributed or marketed in any member state of the European Union (“EU”), the European Economic Area (“EEA”), or the United Kingdom (“UK”).

3. Purchaser Acknowledgement & Assumption of Risk
By accepting, using or purchasing these products, you expressly acknowledge and agree that:

  • You will not export or re-sell this product into the EU, EEA or UK under any circumstance.

  • You alone are responsible for ensuring compliance with all applicable local, national or regional laws where you use or distribute this product.

4. Disclaimer of Liability
To the fullest extent permitted by law, the seller, its affiliates, officers, directors, employees, agents and assigns (collectively, “Seller”) hereby:

  • Disclaims all warranties, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement in any jurisdiction that restricts or bans the product’s ingredients.

  • Shall not be liable for any direct, indirect, incidental, consequential, punitive or special damages arising out of or related to:

    • Unauthorized importation, distribution or sale in the EU/EEA/UK;

    • Regulatory enforcement actions, product seizure or recall by any governmental authority;

    • Loss of profits, business interruption, or any related losses arising from non-compliance.

5. Indemnification
You agree to indemnify, defend and hold harmless Seller from and against any and all claims, liabilities, losses, damages, fines, penalties, costs or expenses (including reasonable attorneys’ fees) arising out of your breach of this disclaimer or violation of any applicable laws.

6. Governing Law & Jurisdiction
This disclaimer and any claim relating to it shall be governed by and construed in accordance with the laws of the State of California (without regard to its conflict-of-law principles). You hereby submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any dispute arising hereunder.
